1. This Registration form must be completed in its entirety, executed
and dated by the Referring Agent or
Brokerage.
2. In addition to registering the Prospect/Client the Referring Agent must introduce the Prospect/Client and
contribute to the sales process with respect to the
Purchaser as determined by Developer or its representative.
3. All Purchase and Sale Agreements must be in writing, on mutually
executed forms approved by Developer in its
sole and absolute discretion.
4. Notwithstanding any provision hereof to the contrary, for all
purposes set forth herein, a “Firm Closed Sale” with
respect to any particular Unit shall only be if: (i) a receipt for
the Unit offering prospectus and governing
documents has been fully executed by the buyer and returned to
Developer,(ii) a firm and binding purchase
agreement (on Developer’s form) has been fully and properly executed
by the buyer and Developer and
delivered to escrow, (iii) all monies required under the applicable
purchase agreement have been paid by the
buyer and received by Developer and have cleared; and (iv) all
conditions precedent to the buyer’s obligation
and to the Developer’s obligation to close have been satisfied in full
or waived.
5. All Purchase Agreements must be entered into during the Term set
forth in this Registration Form and must be
accompanied by a copy of a fully-executed Registration Form.
6. This Registration Form shall be valid for a period of ninety (90)
days from the date set forth above, after which
this Registration shall automatically be null and void unless
registered prospect becomes a Purchaser.
7. Referring Agents are responsible for re-registering any
Prospect/Client after the expiration of the initial ninety
(90) days to be eligible for a commission.
8. In the event of multiple registrations of the same Prospect/Client
by different Referring Agents, the
prospect/client will be asked to communicate their preference in
writing to Developer. This communication will
be shared with the referring agents in conflict. In no event shall
Developer be obligated to pay more than one
(1) Cooperating Brokerage commission.
9. The Brokerage commission is paid to the Brokerage
upon satisfactory completion of settlement
pursuant to the terms of the Purchase Agreement and all of the
conditions listed herein.
10. If the sale of the unit fails to close for any reason or no reason
whatsoever Developer will not be obligated to
pay any commission.
11. It is the responsibility of the Referring Agent to maintain a copy
of this Registration Form.
